THIS STOCK PURCHASE AGREEMENT (this “Agreement”) is entered into as of this 12th day of September, 2008 (the “Effective Date”), by and among RICHARD M. OSBORNE, TRUSTEE, an Ohio resident (“RMO”), REBECCA HOWELL (“Howell”), STEPHEN G. RIGO (“Rigo”), MARTY WHELAN (“Whelan”), and THOMAS J. SMITH (“Smith”) (RMO, Howell, Rigo, Whelan and Smith are hereinafter collectively referred to as “Seller”), and ENERGY WEST INCORPORATED, a corporation incorporated under the laws of the State of Montana, USA (“Purchaser”).
