This Amended and Restated Agreement (this “Agreement”) made as of this 26th day of December, 2008 by and between Black Box Corporation, a Delaware corporation (the “Corporation”), and Michael McAndrew, an individual residing in the Commonwealth of Pennsylvania and an executive of the Corporation (the “Executive”).
