Secor (the “Employee”), pursuant to which the Bank and Employee set forth the terms and conditions with respect to the Employees’ responsibilities upon a “Change in Control” (as defined in the Agreement); and

Foglesong (the “Employee”), pursuant to which the Bank and Employee set forth the terms and conditions with respect to the Employees’ responsibilities upon a “Change in Control” (as defined in the Agreement); and
