THIS FIRST AMENDMENT (“First Amendment”) is made as of this April 6, 2009 by and among the financial institutions signatory hereto (individually a “Bank,” and any and all such financial institutions collectively, the “Banks”), Comerica Bank, as Administrative Agent for the Banks (in such capacity, the “Agent”), Bank of America, N.A. as Collateral Agent (as appointed hereby) (in such capacity, the “Collateral Agent”) and Syndication Agent, Fifth Third Bank, as Documentation Agent, KeyBank National Association as Cash Management Agent and Olympic Steel, Inc. (the “Company”).
