STOCK TENDER AND VOTING AGREEMENT dated as of May 19, 2006 (this “Agreement”), by and among Briad Main Street, Inc., a Nevada corporation (“Parent”), Main Street Acquisition Corporation, a Delaware corporation and wholly owned subsidiary of Parent (“Purchaser”), and the persons listed on attached Schedule 1 (each a “Stockholder,” and collectively, the “Stockholders”).

In accordance with Rule 13d-1(k) and Rule 13d-2(a) promulgated under the Securities Exchange Act of 1934, as amended, each of the undersigned hereby agrees to the joint filing on behalf of each of the undersigned of an amendment to the Schedule 13D initially filed with the Securities and Exchange Commission on November 7, 1996 (including any and all amendments thereto) with respect to the shares of common stock, par value $0.001 per share, of Main Street Restaurant Group, Inc., a Delaware corporation, and that this Amended and Restated Joint Filing Agreement may be included as an Exhibit to such joint filing.
