Synaptics Incorporated (the “Company”) wishes to grant to the person (the “Participant”) named in the Notice of Grant of Deferred Stock Award (the “Notice of Grant”) a Deferred Stock Award (the “Award”) pursuant to the provisions of the Company’s 2001 Incentive Compensation Plan (the “Plan”). The Award will entitle Participant to shares of Stock from the Company, if Participant meets the vesting requirements described herein. Therefore, pursuant to the terms of the attached Notice of Grant and this Deferred Stock Award Agreement (the “Agreement”), the Company grants Participant the number of Deferred Stock Units listed in the Notice of Grant.
