This Guaranty Agreement (this “Guaranty”) is made as of the 19th day of July, 2006, by MGM MIRAGE, a Delaware corporation (the “Guarantor”), in favor of BANK OF AMERICA, N.A., a national banking association (“Administrative Agent”), as Administrative Agent for the benefit of the Lenders (individually a “Lender” and collectively the “Lenders”) from time to time party to a Construction Loan Agreement of even date herewith and between Borrower, Administrative Agent and Lenders.
