ALLIED WASTE INDUSTRIES, INC., a Delaware corporation (“Company”) and PETER S. HATHAWAY (“Executive”) enter into this amended and restated Executive Employment Agreement (“Agreement”) to set forth the terms and conditions of Executive’s employment. This Agreement supersedes any prior employment agreement(s) between the parties. The parties agree as follows:

This Loan Agreement (the “Agreement”) dated as of April 1, 2007, between the MISSION ECONOMIC DEVELOPMENT CORPORATION, a constituted authority and non-profit industrial development corporation created and existing under the Development Corporation Act of 1979, as amended, Tex.
