This SEPARATION AGREEMENT (this “Agreement”) is made and entered into freely and voluntarily, by and between NEIL P. HUDD (hereinafter referred to as “Employee”) and HYPERCOM CORPORATION (hereinafter referred to collectively with all of its subsidiaries and controlled affiliates as the “Company”).

This Consulting Agreement (“Agreement”), dated this 1st day of October, 2007, is by and between Hypercom U.S.A., Inc., located at 2851 West Kathleen Road, Phoenix, Arizona 85053 (“Hypercom”) and Neil P. Hudd (“Consultant”) whereby Hypercom hereby retains Consultant to furnish services pursuant to the terms and conditions set forth below.
