THIS AGREEMENT made between Insight Enterprises, Inc. (the “Company”) and you (the “Optionee”) shall be effective on the date of the Company’s acceptance of your tendered Eligible Options for amendment pursuant to the Offer and will constitute a binding agreement between us and you upon the terms and subject to the conditions of the Offer.
