THIS MANAGEMENT AGREEMENT (the “Agreement”), made as of the 31st day of May, 2006, is entered into by VistaCare, Inc., a Delaware corporation with its principal place of business at 4800 N. Scottsdale Road, Suite 5000, Scottsdale, Arizona 85251 (the “Company”), and James T. Robinson, an individual residing in Lexington, Massachusetts (the “Executive”).
