This DEBTOR-IN-POSSESSION CREDIT AND GUARANTY AGREEMENT, dated as of July 9, 2008 is entered into by and among, SYNTAX-BRILLIAN CORPORATION, a Delaware corporation, as a debtor and debtor-in-possession (“Company”), SYNTAX-BRILLIAN SPE, INC., a Delaware corporation, as a debtor and debtor-in-possession (“SPV”, and together with the Company, each a “Borrower” and collectively, the “Borrowers”), SYNTAX GROUPS CORPORATION, a California corporation, as a debtor and debtor-in-possession, as a Guarantor, the Lenders party hereto from time to time and SILVER POINT FINANCE, LLC (“Silver Point”), as Administrative Agent (in such capacity, together with its successors and assigns in such capacity, the “Administrative Agent”) and as Collateral Agent (in such capacity, together with its successors and assigns in such capacity, the “Collateral Agent”).
