ALLIED WASTE INDUSTRIES, INC., a Delaware corporation (“Company”) and TIMOTHY R. DONOVAN (“Executive”) enter into this amended and restated Executive Employment Agreement (“Agreement”) as of this 22nd day of June, 2008 to set forth the terms and conditions of Executive’s employment.
