This LOAN AND SECURITY AGREEMENT (the “Agreement”) is entered into as of August 31, 2012, by and between Square 1 Bank (“Bank”) and IGI Laboratories, Inc., a Delaware corporation (“IGI”), Igen, Inc., a Delaware corporation (“Igen”), and IGI Labs, Inc., a Delaware corporation (“IGI Labs”; and IGI, Igen and IGI Labs referred to herein individually and collectively as “Borrower”).
