THIS CERTIFIES THAT, FOR VALUE RECEIVED, Amzak Capital Management, LLC, or its registered assigns (the “Holder”) is entitled to purchase, on the terms and conditions hereinafter set forth, 387,201 shares (the “Initial Warrant Shares”) of the Common Stock, $0.01 par value per share (the “Common Stock”), of IGI Laboratories, Inc., a Delaware corporation (the “Company”), at any time in whole or in part from the Original Issue Date (the “Exercise Eligibility Date”) until 5:00 p.m., Eastern Time, on the tenth (10th) anniversary of the Original Issue Date, or if such date is not a day on which the Company is open for business, then the next succeeding day on which the Company is open for business (such date is the “Expiration Date”), but not thereafter, such number of shares and Exercise Price. Each share of Common Stock as to which this Warrant is exercisable is a “Warrant Share” and all such shares are collectively referred to as the “Warrant Shares.”

This Registration Rights Agreement (this “Agreement”), dated as of December 20, 2012, is made by and among IGI Laboratories, Inc., a Delaware corporation (the “Company”), and Amzak Capital Management, LLC, a limited liability company organized under the laws of the State of Nevada (the “Investor”). All capitalized terms used herein but not otherwise defined shall have the meanings ascribed to such terms in the Securities Purchase Agreement (as such term is defined below).
