THIS TERM LOAN AGREEMENT, dated as of November 13, 2006 is entered into among CEMEX, S.A.B. de C.V., a corporation (sociedad anónima bursátil de capital variable) organized and existing pursuant to the laws of the United Mexican States (the “Borrower”), CEMEX MÉXICO, S.A. de C.V., a corporation (sociedad anónima de capital variable) organized and existing pursuant to the laws of the United Mexican States, EMPRESAS TOLTECA DE MÉXICO, S.A. de C.V., a corporation (sociedad anónima de capital variable) organized and existing pursuant to the laws of the United Mexican States (each a “Guarantor” and together, the “Guarantors”), ING CAPITAL LLC, as Administrative Agent, ING BANK N.V.
