THIS STOCK PURCHASE AGREEMENT (this “Agreement”) is made as of July 17, 2012 by and among Olin Corporation, a Virginia corporation (“Purchaser”), K. A. Steel Chemicals Inc., a Delaware corporation (the “Company”), each of the stockholders of the Company (each a “Seller” and collectively, “Sellers”), and Robert F. Steel, an individual residing in the State of Illinois, as agent for Sellers (the “Seller Representative”).
