This letter agreement (the “Agreement”) is intended to amend and restate the terms of that certain letter agreement by and between you and Barnes & Noble, Inc. (the “Company”) dated as of March 17, 2010 (the “Original Agreement”) and to set forth our mutual understanding regarding your continued employment as Chief Executive Officer of the Company.
