This STOCK AND ASSET PURCHASE AGREEMENT (this “Agreement”) is made this 23rd day of August 2019, by and between (a) Pitney Bowes Inc., a Delaware corporation (the “Seller”), and (b) Starfish Parent, LP, a Delaware limited partnership (the “Purchaser”). Capitalized terms used in this Agreement shall have the meanings indicated in Section 9.2.
