FIRST AMENDMENT, dated as of July 2, 2020 (this “Amendment”) to the Amended and Restated Three-Year Credit Agreement, dated as of July 19, 2018 (as amended from time to time, the “Credit Agreement”), among INTERNATIONAL BUSINESS MACHINES CORPORATION (“IBM”), IBM CREDIT LLC (“IBMCLLC”) (each individually a “Borrower” and together the “Borrowers”), the Lenders from time to time party thereto and JPMORGAN CHASE BANK, N.A., as Administrative Agent. Capitalized terms used but not defined herein shall have the meanings assigned to such terms in the Credit Agreement.
