This EQUITY PURCHASE AGREEMENT, dated as of February 2, 2024 (this “Agreement”), is entered into by and among Cincinnati Bell Inc., an Ohio corporation (“Seller”), CBTS Borrower, LLC, a Delaware limited liability company (“Purchaser”), and, solely for the purposes set forth in Section 5.23, CBTS LLC, a Delaware limited liability company (the “Company”). Capitalized terms used in this Agreement and not otherwise defined herein have the meanings ascribed to such terms in Section 9.06(b).
