This MASTER EXCHANGE AGREEMENT (“Agreement”) is entered into as of March 7, 2006, by and among PHH FUNDING, LLC, a Delaware limited liability company, (“PHF”), CHESAPEAKE FINANCE HOLDINGS LLC, a Delaware limited liability company (“Holdings”), and D.L.
