This CONFIDENTIAL SEPARATION AGREEMENT AND GENERAL RELEASE (the “Agreement”) dated as of July 3, 2007, is entered into by and between BAY NATIONAL BANK, a Maryland corporation (the “Company”), and RICHARD C. SPRINGER (“Springer”). The Company and Springer may be individually referred to hereinafter as a “Party” or together as the “Parties.”
