This AMENDED AND RESTATED EMPLOYMENT AGREEMENT (this “Agreement”) is made and entered into as of January 28, 2008 by and among Keystone Nazareth Bank & Trust Company (“KNBT Bank”), KNBT Bancorp, Inc. (“KNBT”), National Penn Bank (the “Bank”), National Penn Bancshares, Inc. (the “Company”) (the Bank and the Company are collectively referred to as the “Employer”), and Scott V. Fainor (the “Executive”) and shall become effective as of the Effective Time (as defined below) and shall supersede, as of the Effective Time, any and all agreements relating to the matters contained herein.

THIS AGREEMENT is made as of this 1st day of January 1, 2008, among NATIONAL PENN BANCSHARES, INC., a Pennsylvania business corporation having its principal place of business in Boyertown, Pennsylvania ("NPB"), NATIONAL PENN BANK, a national banking association having its principal place of business in Boyertown, Pennsylvania ("Bank"), and H. Anderson Ellsworth, an individual residing at 65 Wellington Blvd., Wyomissing, Pennsylvania ("Executive").
