This Voting Agreement (the “Voting Agreement”) is made as of this 14th day of March, 2008, by and among The Blue Fund Group, a Massachusetts business trust (the “Company”) on behalf of The Blue Large Cap Fund (the “Fund”) and the Mai 2006 GST Exempt Family Trust (the “Mai Trust”).
