This Agreement is made by and between Asahi Tec Corporation, a Japanese corporation (“Company”), and Thomas A. Amato (“Executive”), effective as of the Effective Time (as defined in the Agreement and Plan of Merger, dated as of August 31, 2006, among Company, Argon Acquisition Corp. and Metaldyne Corporation (“Metaldyne”) (the “Merger Agreement”)) (hereinafter, the “Effective Date”). This Agreement replaces and supercedes the Employment Agreement between Metaldyne and Executive with an Effective Date of September 1, 2001, as amended effective as of September 10, 2004 (as so amended, the “Original Employment Agreement”). In order to induce Executive to be employed as described herein, Company enters into this Agreement with Executive to set out the terms and conditions that will apply to Executive’s employment.
