LOAN AGREEMENT (“Agreement”), dated this 28th day of August, 2002, by and between THE MOHEGAN TRIBAL GAMING AUTHORITY, a governmental instrumentality of the Mohegan Tribe of Indians of Connecticut (the “Borrower”) and FLEET NATIONAL BANK, a national bank with a place of business at 157 Church Street, New Haven, Connecticut 06510 (“Lender”).

This is an employment agreement which we will hereinafter refer to simply as the “Agreement,” which I, Daniel Garrow, of East Lyme, Ct. voluntarily enter into on behalf of myself and my heirs, executors, administrators and assigns with my employer, MOHEGAN TRIBAL GAMING AUTHORITY, acting on behalf of its affiliates, successors, or assigns (the “MTGA”) through its President/Chief Executive Officer (“President/CEO”) on this the 23th day of June, 2000.
