THIS AGREEMENT (this “Agreement” or the “Employee Agreement”) is entered into as of the Effective Date set forth on the signature page hereof between Liquidity Services, Inc., a Delaware corporation, and its subsidiaries and affiliates (collectively, the “Company”) and the undersigned employee of the Company (“I”, “me”, or “Employee”). I recognize and acknowledge the Company would not have retained my services as an employee, and the Company would not have allowed me access to Confidential Information (as defined below), but for my commitment to the agreements and covenants in this Agreement.
