This Amendment One to Separation and Distribution Agreement (this “Amendment”) is to amend that certain Separation and Distribution Agreement, dated October 1, 2022, between Adeia Inc. (“Adeia”), a Delaware corporation, and Xperi Inc. (“Xperi”), a Delaware corporation (the “Agreement”). Any terms which are used below and which are defined in the Agreement shall have the same meanings and definitions as set forth in the Agreement, unless otherwise indicated. Adeia and Xperi are hereinafter sometimes individually referred to as a “Party” or collectively referenced as the “Parties.” This Amendment shall constitute the Parties’ agreement to modify the Agreement as hereinafter provided effective as of October 1, 2022.

Xperi Inc., a Delaware corporation (the “Company”), pursuant to its 2022 Equity Incentive Plan (the “Plan”), hereby grants to the holder listed below (“Participant”), an award of restricted stock units (“RSUs” or “Restricted Stock Units”) representing a right to receive a number of shares of the Company’s common stock, par value $0.001 (the “Shares”). This award for RSUs (this “Award”) is subject to all of the terms and conditions as set forth herein and in the Restricted Stock Unit Award Agreement attached hereto as Exhibit A (the “RSU Agreement”) and the Plan, each of which are incorporated herein by reference. Unless otherwise defined herein, the terms defined in the Plan shall have the same defined meanings in this Grant Notice and the RSU Agreement.

(“Xperi”). Any capitalized terms used herein but not otherwise defined shall have the meanings set forth in the TSA (as defined below).
