THIS RESTRICTED STOCK UNIT AGREEMENT (the “Agreement”) is entered into as of the Grant Date set forth above by and between Agilysys, Inc., a Delaware corporation (the “Company”), and the Participant set forth above (“you” or the “Participant”).

This Amended and Restated Employment Agreement (“Agreement”) is made between Agilysys, Inc. (“Agilysys” or the “Company”) and Ramesh Srinivasan (“you”), and is effective March 10, 2023 (the “Effective Date”). Except with respect to any documents related to previously granted equity awards, this Agreement supersedes in all respects all prior agreements between you and the Company regarding the subject matter herein, including without limitation (i) the employment agreement between you and the Company dated February 10, 2020 (the “Prior Employment Agreement”), and (ii) any other offer letter, employment agreement or severance agreement.
