This CREDIT AGREEMENT, dated as of May 25, 2023, is entered into by and among HWC RECEIVABLES 2023, LLC, a Delaware limited liability company (“Company”), the Lenders party hereto from time to time, HEADWAY CAPITAL, LLC, a Delaware limited liability company (“Headway”), as Originator (in such capacity, “Originator”) and BNP PARIBAS, as Administrative Agent for the Lenders (in such capacity, “Administrative Agent”) and as Collateral Agent for the Secured Parties (in such capacity, “Collateral Agent”), and DEUTSCHE BANK TRUST COMPANY AMERICAS, as Paying Agent (in such capacity, “Paying Agent”).
