THIS JOINDER, INCREMENTAL ASSUMPTION AGREEMENT AND NINTH AMENDMENT TO CREDIT AGREEMENT (this “Amendment”), effective as of June 24, 2024 (the “Ninth Amendment Effective Date”), is by and among A-MARK PRECIOUS METALS, INC., a Delaware corporation (the “Borrower”), the other Loan Parties party hereto, the Lenders party hereto, and CIBC BANK USA, as administrative agent for the Lenders (in such capacity, the “Agent”).
