The Borrower, the Lenders party thereto, the Syndication Agent, Goldman Sachs as Administrative Agent, the Collateral Administrator, the Collateral Agent and the Collateral Custodian were parties to a Credit Agreement dated as of the Closing Date (as amended or otherwise modified prior to the First Amendment Date, the "Existing Credit Agreement"). The parties hereto desire to amend and restate the Existing Credit Agreement in its entirety, effective as of the First Amendment Date.
