THIRD SUPPLEMENTAL INDENTURE, dated as of November 27, 2024 (this “Third Supplemental Indenture”), among THE CHEMOURS COMPANY, a Delaware corporation (the “Company”), each of the Subsidiary Guarantors party hereto or that becomes a Subsidiary Guarantor pursuant to the terms of this Third Supplemental Indenture and Deutsche Bank Trust Company Americas, as trustee (the “Trustee”), under an Indenture dated as of November 27, 2020, between the Company and Deutsche Bank Trust Company Americas, as successor trustee to U.S. Bank Trust Company, National Association (as successor in interest to U.S. Bank Trust Company) (the “Base Indenture” and, together with this Third Supplemental Indenture, the “Indenture”).
