This AMENDMENT NO. 1 TO RIGHTS AGREEMENT, dated as of December 3, 2024 (this “Amendment”), is made and entered into by and between Kezar Life Sciences, Inc., a Delaware corporation (the “Company”), and Computershare Trust Company, N.A., a federally chartered trust company, as rights agent (the “Rights Agent”). Except as otherwise provided herein, capitalized terms used but not otherwise defined in this Amendment shall have the meanings ascribed to such terms in the Agreement (as defined below).
