AMENDMENT NO. 2 TO THE RIGHTS AGREEMENT Amendment No. 2 to the Rights Agreement, dated as of February 16, 1999 (this "Amendment"), by and between Northern Trust Corporation, a Delaware corporation (the "Company"), and Norwest Bank Minnesota, N.A., a national banking association (the "Rights Agent"). WHEREAS, the Company and the Rights Agent have entered into a Rights Agreement, dated as of July 21, 1998, as amended by Amendment No. 1 to the Rights Agreement, dated as of November 18, 1998 (as so amended, the "Agreement"); WHEREAS, pursuant to Section 27 of the Agreement, the Company has determined to modify the terms of the Agreement in certain respects.
