This SHARE PURCHASE AGREEMENT, dated as of April 28, 2009, by and among Cogenco International, Inc., a Colorado corporation (“Cogenco” or the “Company”) and Bernd J. Hamacher-Schwieren, (“Purchaser’), for the purchase by Purchaser of 520,000 shares of Cogenco common stock (the “Purchased Shares”) as described below and subject to adjustment as provided herein.
