This Amended and Restated Stock Purchase Agreement (“Agreement”) is made as of May 12, 2010, and amends and restates that Stock Purchase Agreement (the “Original Agreement”) which was dated July 24, 2009, and amended November 24, 2009 and again January 19, 2010. This Agreement is by and between GENESIS SOLAR CORPORATION (formerly known as COGENCO INTERNATIONAL, INC.), a Colorado corporation (“Buyer”), and GENESIS ENERGY INVESTMENTS PLC, an Hungarian entity operating as a public company whose common stock is traded on the Budapest Stock Exchange (“Seller”).
