AGREEMENT made this 1st day of January, 1996 by and between Marketvest Funds (the "Trust"), a Massachusetts business trust, and EDGEWOOD SERVICES, INC. (`ESI"), a Pennsylvania corporation. In consideration of the mutual covenants hereinafter contained, it is hereby agreed by and between the parties hereto as follows: 1.
