This is an addendum to the Credit Facility entered into as of October 31, 1998 by and between Epsom Investment Services N.V. (Epsom) and Resource Finance & Investment Ltd dated the 1st December 2002.

Andre J. Audet and Victor F. Erickson hereby agree to extend the term of the agreement dated June 3, 2004 with Resource Finance & Investment Ltd (the "Agreement") to March 31, 2005, subject to and conditional upon satisfaction by February 28, 2005 of the following provisions of the Agreement:

This Asset Purchase Agreement (this "Agreement") is entered into as of May 19, 2005 (the "Effective Date") by and among OREGON RESOURCES CORPORATION, an Oregon corporation ("Purchaser") and MINERAL RECOVERY SYSTEMS, INC., a Nevada corporation ("Seller").

Whereas Andre Audet and Victor Erickson acting as a 50:50 unincorporated partnership, (herein referred to as "A&E") have staked 282 mineral claims comprising approximately 9450 hectares in Beauchastel and Dasserat Townships in the Province of Quebec (herein referred to as the "A&E Claims"), a compilation of which is attached hereto as Appendix "A", and have entered into a letter agreement dated 30 April 2004 with Richmont Mines Inc. ("Richmont") of Rouyn-Noranda, Quebec (The "Richmont Agreement") attached hereto as Appendix "B", in which A&E or its assignee has the right to earn a 50% interest via two separate options in 77 claims covering approximately 2185 hectares in Beauchastel and Dasserat Townships;
