THIS AGREEMENT, made September 24, 2002, between, Signature Stock Transfer, Inc. hereinafter called "Escrow Agent;" DUNDEE MINING INC., a Nevada corporation, with principal offices at 101-1865 Dilworth Drive, Kelowna, British Columbia, Canada V1Y 9T1, hereinafter called the "Company"; and such other person, firms, or corporations as shall become parties hereto in the manner provided herein, hereinafter called the "Subscribers."
