This REGISTRATION RIGHTS AGREEMENT (the " Agreement "), dated as of October 1, 2014 (the "Execution Date "), is entered into by and between Seen On Screen TV, Inc., a Nevada corporation with its principal executive office at 4017 Colby Ave. Everett, WA 98201 (the " Company "), and Premier Venture Partners, LLC, a California limited liability company (the " Investor "), with its principal executive officers at 4221 Wilshire Blvd., Suite 355, Los Angeles, CA 90010.
