THIS REVISED EMPLOYMENT AGREEMENT ("AGREEMENT"), made this 1st day of January, 1997, by and between THE MIDDLEBURG BANK ("BANK") and JOSEPH L. BOLING, President and Chief Executive Officer ("PRESIDENT").
