WHEREAS, the Term Borrower, the Revolving Credit Borrowers, the Domestic Guarantors party thereto, each of the financial institutions and other institutional lenders party thereto (the “Lenders”), the Administrative Agent, the Collateral Agent and the Documentary Credit Lender are parties to the Credit Agreement dated as of October 2, 2006, as amended by the First Amendment made as of February 15, 2007, and a Second Amendment dated as of September 24, 2009, as amended and restated by the Amended and Restated Credit Agreement made as of November 9, 2011, and as further amended, supplemented or otherwise modified (the “Credit Agreement”; capitalized terms not otherwise defined in this Amendment have the same meanings given to them in the Credit Agreement) and Open Text Inc., Open Text Holdings, Inc., Open Text USA Inc., Vignette Partnership, LP, EasyLink Services International Corporation (collectively, the “U.S. Grantors”) and the Administrative Agent are parties to the Amended and Rest
