THIS AGREEMENT, effective January 1, 2019, represents the grant of Performance Share Units by Ameren Corporation ( “Ameren”), to the Participant set forth in the Notice of 2019 Performance Share Unit Award (“Notice”), pursuant to the provisions of the Ameren Corporation 2014 Omnibus Incentive Compensation Plan, as it may be amended from time to time (the “Plan”). The Notice is included in and made part of this Agreement.
