THIS PLEDGE AND SECURITY AGREEMENT is entered into as of March 6, 2006 by and among Home Solutions of America, Inc., a Delaware corporation (the "Borrower"), each of the Debtors set forth on the signature pages hereof (each a "Debtor", and collectively with the Borrower, the "Debtors"), and Texas Capital Bank, National Association, a national banking association ("Lender") on behalf of itself and its Affiliates (the "Secured Party").

THIS GUARANTY AGREEMENT (this "Guaranty") is executed as of March 6, 2006, by CORNERSTONE BUILDING AND REMODELING, INC., a Florida corporation; FIBER-SEAL SYSTEMS, L.P., a Texas limited partnership; HOME SOLUTIONS RESTORATION OF LOUISIANA, INC., a Louisiana corporation; P.W.
