This Executive Employment Agreement (this "Agreement") is made and entered into as of July 1, 2006 (the "Effective Date"), by and among Fireline Restoration, Inc., a Florida corporation (the "Employer"), a wholly owned subsidiary of Home Solutions of America, Inc., a Delaware corporation ("HSOA") and Brian Marshall, an individual resident of the State of Florida (the "Executive").

This STOCK PURCHASE AGREEMENT (this "Agreement") is made and entered into on this the 31st day of July, 2006, by and among Fireline Restoration, Inc., a Florida corporation ("Fireline"), Brian Marshall as the sole shareholder of Fireline (the "Shareholder"), and Home Solutions of America, Inc., a Delaware corporation ("Purchaser").
