After extensive study, the Board of Directors of Performance Technologies, Incorporated (the "Company") has adopted a Rights Agreement designed to ensure that all of the Company's stockholders receive fair and equal treatment in the event of any proposal to acquire the Company. The agreement is intended to protect the interests of our stockholders in the event of abusive or unfair takeover tactics. It is not designed to prevent the acquisition of the Company on terms beneficial to all stockholders.
