This AMENDMENT NUMBER THREE TO TALK.COM LOAN DOCUMENTS (this "AMENDMENT") is entered into as of February 12, 2002 (the "Amendment Number Three Closing Date") by and among TALK AMERICA INC. (f/k/a Talk.com Holding Corp.) ("TALK AMERICA"), and ACCESS ONE COMMUNICATIONS CORP.
