THIS AGREEMENT (the "Agreement") is made as of this 28th day of July, 2006 (the "Effective Date"), by and between Cyril J. Taylor, a natural person resident in Rutherford County, TN and his heirs, assigns, executors, agents and representatives (“Taylor”) on the one side, and CBRL Group, Inc.
